Payment Agreement

1. Payment Agreement Definition

This Agreement applies to all paid services that you purchase or use on the Elser.AI platform and on platforms operated in partnership with us. These include, but are not limited to, membership subscription services, credit purchase or redemption services (if applicable), and individually paid services (if applicable). The specific services and benefits you receive shall be based on the information displayed on the purchase page and the actual functionalities presented within the Service.

All agreements, announcements, guidelines, in-platform notifications, and other rules that we have issued or may issue in the future in connection with Elser.AI (collectively, the Platform Rules) constitute an integral part of this Agreement and have the same legal effect as this Agreement.

The following are definitions related to payment services:

- Elser.AI / Elser.AI Platform / Platform refers to the suite of products and services under the “Elser.AI” brand that are legally owned or operated by the Company. This includes, but is not limited to, the official website (elser.ai), client applications, mini-programs, SDKs, APIs, and any additional future service channels. The Company may adjust the available versions based on business needs, and the version you actually use shall prevail.

- Company refers to ELSER GLOBAL PTE. LTD. and/or its affiliates.

- Agreement refers to this Paid Services Agreement entered into between you and the Company regarding the use of Elser.AI’s paid services.

- User Account refers to the Elser.AI account you use to log in, activate, or manage paid services, including both membership and standard accounts.

- Membership Account / Member User refers to an account that has an active membership subscription. Upon successfully activating a membership plan, the user becomes a Member User.

- Elser.AI Paid Services / Services refer to the paid entitlements you obtain by meeting eligibility conditions or paying applicable fees, including membership subscriptions and individually paid services (if any).

- Membership Subscription Services / Subscription Plans refer to the subscription system built around Elser.AI’s core functionalities, with specific tiers subject to the information on the purchase page.

- Individually Paid Services / Independent Subscription Services refer to service plans that operate separately from membership subscriptions, structured around specific features or modules, with independent activation, billing, renewal, and expiration. These services do not affect or overlap with membership subscriptions.

- Credits refer to virtual units provided by the platform that can be used to redeem designated features within Elser.AI (such as image/video/character generation). For the avoidance of doubt, Credits and “credit-based services” are not online payment services; Credits are not digital tokens, virtual currency, stored-value instruments, or monetary equivalents.

- Service Fee refers to the consideration you pay to the Company to activate paid services under this Agreement. The pricing, billing cycle, currency, tax treatment (tax-inclusive or not), invoicing arrangements, auto-renewal status, and related billing elements are subject to the information displayed on the purchase or activation page. In case of inconsistencies, the page display shall prevail.

- Validity Period / Subscription Period / Usage Period refers to the duration during which you are entitled to access and use the purchased service and its associated benefits, as specified on the product interface.

2. Member Subscription Service

• Subscription Tiers

The platform may offer multiple subscription tiers (e.g., Basic, Standard, Pro, Advanced), with the actual tiers displayed on the purchase page prevailing. The Company may adjust subscription categories, names, benefits, or applicability based on business needs or user demand and will notify users through appropriate means.

• Membership Benefits

Membership benefits vary across subscription tiers and are subject to the real-time information displayed on the platform. These may include, but are not limited to:

- Monthly Credits: Issuance amount, timing, and validity are as displayed on the Service;

- Watermark Removal: Applies only to eligible images/videos generated on the platform and excludes watermarks inherent to third-party materials or legally required markings;

- Download Privileges: Including limits on resolution, format, volume, or bandwidth, as shown on the purchase page;

- High-Quality Generation: Such as higher resolution, clarity, duration, or priority queues, subject to platform display;

- Early Access to New Features: May be subject to capacity, regional availability, device requirements, or compliance restrictions;

- Commercial Usage Rights: Standard, Prime, and Studio subscribers may legally use, reproduce, distribute, modify, or create derivative works from the content they generate, within the limits of applicable law. Outputs may not be used to develop or provide competing products or services, and must not infringe the rights of others. Generated content is non-exclusive and may resemble outputs created by others due to the nature of generative models;

- Other Benefits: Additional or updated benefits may be provided from time to time to enhance user experience, as displayed on the platform.

During the validity period, credits may be used to redeem additional designated benefits, where applicable.

• Membership Activation

Your membership becomes active upon successful payment. The validity period and scope of benefits depend on the selected subscription tier and the information displayed on the Service. Membership benefits must be accessed through a logged-in member account.

• Device and Concurrent Use Limitations

The number of devices, simultaneous logins, and concurrent usage permitted under a single membership account is reasonably limited. Exceeding these limits may result in restricted access, feature limitations, service interruption, or termination by the Company.

• Validity Period and Expiration

The membership validity period is as displayed on the Service. If renewal is not completed by 23:59:59 (system time) on the expiration date, the account will revert to a standard (non-member) status and all membership benefits will terminate immediately.

• Auto-renewal and Cancellation

Membership subscriptions are set to auto-renew by default (e.g., monthly or annual plans). You may disable auto-renewal at any time under Credits/Membership → My Plan → Subscription Management. Disabling auto-renewal does not affect the current billing cycle; charges and benefits will cease from the next cycle onward. See the Appendix “Auto-Renewal Rules” for details.

• Subscription Changes

The effective time for subscription upgrades or downgrades, the method of price difference calculation, and the activation order of benefits follow the rules displayed on the purchase page.

Downgrades take effect in the next billing cycle.

Upgrades follow the compensation formula below:

Additional Payment Due = Price of Upgraded Tier − (Current Tier Price × [(Total Credits − Used Credits) / Total Credits])

3. Point Service

• Point Acquisition and Validity Period

- Subscription Credits: Issued monthly during the membership validity period and become active immediately upon being credited to the member account. Each issuance remains valid for one (1) month (until the same date and time in the next calendar month; if no such date exists, the validity extends to the last day of that month at the same time).

- First Login/Registration Credits: Become effective upon issuance and remain valid for one (1) month.

- Promotional or Operational Credits (if any): Acquisition rules, allotment, and validity follow the applicable campaign rules or public page display.

- Membership Subscription Changes: If the subscription plan changes, the issuance schedule will be updated accordingly. Each issuance maintains a validity period of one month from the moment it is granted.

• Point Usage and Restrictions

Credits may only be redeemed for the features or services specified in this Agreement or displayed on the platform. Credits cannot be withdrawn, exchanged for cash, or converted into any monetary value. Expired credits will automatically become invalid.

Redemption Order: Complimentary credits are consumed first. For credits of the same category, those with the earliest expiration date will be used first.

Credits must not be obtained or used for profit-making, resale, commercial exploitation, or any non-personal purpose, nor may they be transferred, gifted, lent, sold, pledged, sublicensed, or shared in any manner.

If there is any inconsistency between this clause and the rules displayed on the front-end interface, the front-end display shall prevail. The Company reserves the right to adjust the acquisition methods, usage scope, and validity of credits based on operational needs.

• Point Inquiry

You may view your credit balance and validity period in the “Credits/Membership” section. If you dispute the validity period, issuance, or consumption of credits, you may contact the Company using the channels specified in this Agreement. Upon verification, the Company will correct any errors by issuing the appropriate amount of credits or adjusting any excess credits previously granted.

4. Service Access and Payment Terms

• Account Registration

You must register or log in to your Elser.AI account (and, where applicable, bind a third-party account) before purchasing or using any paid services.

• Payment Models

The platform may offer individually paid services for certain designated features in addition to membership plans or credit packages. The types of services, scope of features, and pricing are subject to the information displayed on the purchase page. The Company may update or adjust relevant features or pricing plans from time to time to improve user experience.

Once an individually paid service has been purchased, it cannot be exchanged for membership benefits or credits, cannot be transferred or gifted to another account, and is non-refundable or convertible to cash unless otherwise required by applicable laws or explicitly stated on the Service.

Individually paid services have a defined validity period, and you must use them within that period. Validity periods may vary by platform, feature, or service type; the rules displayed on the purchase page shall prevail.

You may review your remaining balance and validity period under Credits/Membership → My Plan → Subscription Management. If you believe there is an error, you may submit an appeal through the contact methods provided in this Agreement, and corrections will be made after verification.

• Benefits

Upon successful payment, the corresponding membership, credits, or one-time feature access (if applicable) will be activated, and you will obtain the associated benefits. The validity period and scope of benefits shall be determined by the information displayed on the product interface.

• Device Limits and Service Availability

Reasonable restrictions apply to the number of devices logged into the same membership account, the number of simultaneous online sessions, and concurrent use. If such limits are exceeded, ELSER.AI may restrict login, suspend features, or terminate service access.

If you are unable to use purchased services due to changes in laws, regulatory actions, or material changes in circumstances, the Company will notify you through appropriate means. To the extent permitted by law, ELSER.AI is not liable for losses arising from such circumstances.

• Service Notifications

We may send recommendations, rewards, or promotional information through the contact methods associated with your account (including email, mobile number, in-platform messages, or system announcements). You may opt out of such communications at any time by following the provided instructions.

5. Charging Method

• Fee Standards and Pricing Information

- Strikethrough Price: Represents a reference price, suggested retail price, or past displayed price, and is provided for reference only;

- Non-strikethrough Price: Represents the current sales price, with the checkout page being the final determining price;

- Promotional/Discount/Member Prices: Unless otherwise stated, these reflect discounts applied to the reference price;

- Price Errors: In the event of display errors caused by cache, system delay, or other issues, the checkout page price shall prevail. If you notice an anomaly, please contact us promptly for correction.

• Price Display Information:

- Strikethrough Price: Represents a reference price, suggested retail price, or past displayed price, and is provided for reference only;

- Non-strikethrough Price: Represents the current sales price, with the checkout page being the final determining price;

- Promotional/Discount/Member Prices: Unless otherwise stated, these reflect discounts applied to the reference price;

• Purchase and Payment

- Payment Requirements: You must log into your account and complete payment according to on-screen instructions, using only the official payment methods provided by the platform. If losses arise from the use of non-official or unlawful payment channels, you bear full responsibility, and the Company may suspend, restrict, or terminate the associated account and its service permissions.

- Non-Refundable Policy: Paid services are digital goods and are non-refundable once activated (unless required by applicable law or explicitly stated otherwise on the purchase page). Please verify your account, selected service, price, and validity period before confirming payment.

- Discounts and Deductions: Where discounts, coupons, or credit redemptions apply, the actual amount paid after deductions constitutes the “Service Fee.” Deducted portions have no cash value and cannot be refunded or exchanged.

- Invoices and Payment Records: If you require an invoice or payment confirmation document, please follow the procedures described in this Agreement or those published on the purchase page. All processing rules follow the most recent public instructions.

6. Auto-Renewal Service Rules

• Application Scope

These rules apply to all subscription services for which auto-renewal is enabled, including but not limited to monthly or yearly recurring plans.

• Billing and Renewal Cycle

Before the end of each billing cycle, the system will automatically charge the next period’s fee—priced in U.S. Dollars (USD), tax-inclusive—using your authorized payment method.

If pricing or plan changes occur, the Company will notify you in advance according to platform rules. You may cancel auto-renewal before the new plan takes effect. If you do not cancel and continue using the service, you are deemed to have accepted the updated plan starting from the next billing cycle.

• Cancellation and Effective Time

- Cancellation via Website: You may disable auto-renewal at any time under Credits/Membership → My Plan → Subscription Management. Once disabled, the current billing cycle remains unaffected; charges and benefits cease from the next cycle onward.

- Free Trial: If your subscription includes a free trial, the system will automatically charge the subscription fee once the trial ends unless you cancel prior to the trial expiration.

• Failed Charge and Grace Period

If a renewal charge fails due to insufficient balance, expired or changed payment method, risk control restrictions, or other reasons, the platform may retry billing within a reasonable period. If all retries fail, auto-renewal will be disabled, and the service will end upon completion of the current billing cycle, at which point the account will revert to standard status.

• Non-refund Policy

Cancelling auto-renewal affects only future billing cycles; the current cycle is non-refundable (unless otherwise required by law or clearly stated on the Service). Any amounts offset using credits or discounts do not carry cash value and are not refundable.

• Price Adjustment

The Company reserves the right to adjust pricing or subscription plans for auto-renewal and will notify you via page updates, in-app messages, email, or other appropriate means. If you do not cancel auto-renewal and continue using the service, the updated plan will take effect from the next billing cycle.

• Reactivation

You may re-enable auto-renewal at any time through the above channels. Once activated, automatic billing and renewal will resume starting from the next billing cycle.

7. User Conduct and Restrictions

• Brandmarks

Watermark removal is available exclusively to eligible members. Non-members or users without proper authorization may not remove, obscure, alter, or circumvent any watermark or brand mark applied to generated content. If, due to technical or objective reasons, the output is delivered without a watermark, you must clearly display the attribution “Generated by Elser.AI” or an equivalent credit in a prominent position whenever the content is presented.

• Prohibited Conduct

The following behaviors are strictly prohibited:

- Infringing upon the lawful rights of others, including intellectual property, privacy, reputation, or portrait rights;

- Uploading, generating, or disseminating unlawful, harmful, or otherwise prohibited content;

- Circumventing or attempting to bypass payment mechanisms, quotas, risk-control systems, or security protections; including scraping, attacking, reverse engineering, or malicious testing;

- Illegally reselling, transferring, sublicensing, or sharing accounts or paid entitlements, or using them for profit-seeking purposes;

- Damaging or interfering with technical security measures, or tampering with service content, duration, or usage records;

- Using generated outputs to develop, train, enhance, or provide products or services that compete with “Elser.AI”;

- Engaging in conduct that harms or may potentially harm minors;

- Any other acts that violate applicable laws, regulations, or platform policies.

• Information Compliance

All materials, data, and information that you upload, input, submit, or publish must be lawful, compliant, and non-infringing. You bear full responsibility for any disputes or liabilities arising from such content. If your actions cause losses to ELSER.AI, the Company is entitled to seek reimbursement from you.

In the event of violations, attempted violations, or conduct that poses risk to the platform, ELSER.AI may take one or more of the following actions issuing warnings, applying rate limits, restricting certain features, removing content, freezing or banning accounts, or terminating service access. The Company reserves the right to pursue legal action and seek compensation for losses resulting from such conduct.

• Minors' Use of the Service

Minors must use the Service only with the guidance and consent of their legal guardian. If a minor uses the Service without such consent, the guardian may request restrictions by contacting the Company through publicly available channels or the contact details provided in this Agreement.

If you upload any content that includes personal information or images of minors, you must obtain all necessary authorizations from the relevant rights holders in accordance with applicable laws. For the purpose of protecting minors, ELSER.AI may process, restrict, or remove such content and may notify you when appropriate.

Guardians are responsible for supervising and guiding minors to use the Service appropriately, including managing their access to online content and paid features.

8. Service Termination

Service suspension or termination may occur under any of the following circumstances, including but not limited to:

- Your voluntary cancellation, termination, or failure to renew upon expiration;

- Breach of this Agreement or related policies;

- Requests or orders issued by regulatory or governmental authorities;

- Force majeure events or material changes in circumstances;

- Any other situation in which suspension or termination is required by law.

Where reasonably practicable, the Company may provide notice regarding service suspension or termination. However, if suspension or termination results from reasons attributable to the user, all fees already paid will be non-refundable unless required by law or otherwise stated on the Service.

Upon termination, your account may revert to a standard (non-member) status and associated benefits will cease. The Company has the right—but not the obligation—to retain your relevant data, and may provide data export options where legally permissible and technically feasible.

9. Disclaimers and Limitation of Liability

• Nature of Generative Outputs

Generative outputs are non-exclusive and may resemble content produced for other users. ELSER.AI does not guarantee the accuracy, completeness, or timeliness of any generated output, nor should such output be regarded as professional advice or a binding commitment. If any generated output or uploaded material involves third-party rights, you are solely responsible for obtaining the necessary permissions and for any resulting liability.

• Service Availability

While ELSER.AI takes reasonable measures to maintain service continuity and security, we do not guarantee uninterrupted, error-free, or fully secure operation of the Service. ELSER.AI is not liable for indirect, incidental, punitive, or loss-of-expected-profit damages arising from interruptions caused by network failures, device issues, third-party service disruptions, or force-majeure events.

• Limitation of Liability

To the maximum extent permitted by law, ELSER.AI’s total liability to you in connection with the Service is limited to the actual subscription fee or service fee paid by you for the billing period in which the dispute arises, excluding any discounted or deducted amounts.

Appendix: Model Price

For the video composition, video length less than one minute will be calculated as one minute. For example, video length in 3 min 01s will be calculated as 4 minutes.
